Terms of Service

The Service is operated by Austin Norville as an individual. “Theta Beta” is the product name (not a separate legal entity).

1. Acceptance of terms

By accessing or using Theta Beta (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

We may update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms unless applicable law requires additional steps.

2. Contracting entity

The Service is offered by Austin Norville, acting as an individual proprietor. “Theta Beta” is the product/trade name. Where these Terms reference “we,” “us,” or “our,” they refer to the operator individually.

3. Description of service

The Service is an options-focused trading journal and analytics tool. Intended capabilities include connecting supported brokerage accounts via SnapTrade's OAuth2 infrastructure where available, importing user-provided brokerage export files, deriving performance metrics, journaling, charts, equity tracking, alerts, exports, and similar features surfaced in-product.

Access may be limited or restricted at the operator's discretion. We may deny, suspend, limit, or revoke accounts at any time for operational reasons, fraud risk, abusive use, inability to authenticate you, breach of Terms, or no reason at all beyond what applicable law forbids.

4. Not financial advice

Important: The Service is software for journaling and analytics only. Nothing on or through the Service constitutes financial, investment, tax, or legal advice, or a recommendation to buy, sell, or hold any security, option, or other instrument.

Trading options involves substantial risk of loss and is not suitable for all investors. Past performance shown in your journal does not guarantee future results. You are solely responsible for your trading decisions. Consult qualified professionals as needed.

Some features present forward-looking projections, scenarios, or planning calculators — for example, tools that estimate the outcome of closing, exercising, rolling, or otherwise adjusting a position. These outputs are hypothetical illustrationsgenerated from prices, premiums, and assumptions you enter or that the Service estimates. They are not quotes, offers, or predictions; they do not account for all costs (such as commissions, fees, taxes, dividends, or early-assignment risk); and they are not a recommendation to take any action. Market data and position marks may be delayed, estimated, or inaccurate. Any action you take in reliance on the Service — including any projection or planning tool — is taken solely at your own risk.

The operator is not a registered investment adviser, broker-dealer, futures commission merchant, financial planner, or tax professional, and is not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, or any state or foreign securities or financial regulator. Using the Service does not create any advisory, brokerage, agency, or fiduciary relationship between you and the operator, and the operator owes you no fiduciary duty. The Service provides neutral, self-directed tools, calculators, and record-keeping only. It does not solicit, recommend, endorse, or offer any security, option, strategy, or transaction, and it does not tailor any output to your individual financial situation, objectives, or risk tolerance. Any output — including projections, scenarios, planners, metrics, alerts, leaderboards, and rankings — is general information and illustration only. You are a self-directed trader solely responsible for evaluating, deciding on, and executing your own trades.

Options trading is speculative, carries a high level of risk, and is not suitable for every investor. You may lose some or all of your investment, and certain strategies can expose you to substantial or theoretically unlimited loss. Before trading options you should read the Options Clearing Corporation's disclosure document, Characteristics and Risks of Standardized Options, available from your broker or at theocc.com. You represent that you understand these risks and assume full responsibility for them.

5. Account terms

You agree to:

  • Maintain the confidentiality of your credentials
  • Accept responsibility for activity under your account until you notify us of compromise
  • Provide accurate information when requesting access or support
  • Not share your account or redistribute access without permission

One account per person unless we explicitly approve otherwise in writing.

You represent that you are at least 18 years old (or the age of majority where you reside), have the legal capacity to enter into these Terms, and are permitted under the laws of your jurisdiction to use the Service and to trade the instruments you record. The Service is intended for self-directed, personal use.

6. Brokerage connections

Where available, you may connect supported brokerage accounts (currently Tastytrade, Schwab, Fidelity, Robinhood, E*TRADE & Webull, with additional brokers added over time) via SnapTrade's OAuth2 infrastructure. You represent you are entitled to connect each account you authorize.

Brokerage OAuth flows and credential handling are operated by SnapTrade Technologies Inc. as a subprocessor. By connecting a brokerage account, you also agree to SnapTrade's applicable terms. The Service is not affiliated with, endorsed by, or officially connected to any brokerage it supports. Your use of each brokerage platform remains subject to that platform's own terms and policies.

You may revoke brokerage access at any time from within the Service or directly through SnapTrade. Revocation does not automatically delete trade data already imported — you may request deletion separately.

7. Imported brokerage data

You may upload exports or files containing transaction data (for example Schwab-style JSON). You represent that you have the right to upload that data and that it is accurate to the best of your knowledge. You remain subject to your broker's terms for your source data. The operator is not responsible for errors in source files and does not verify broker report accuracy beyond software parsing.

8. Acceptable use

You agree not to:

  • Use the Service unlawfully or to violate third-party rights
  • Attempt to probe, bypass, or defeat security, rate limits, or access controls
  • Scrape, bulk-extract, or resell the Service or other users' data
  • Introduce malware, excessive load, or interference with operation
  • Misrepresent your identity or entitlements

9. Subscription and billing

The Service may operate under early access, trials, or paid plans. Pricing, taxes, and billing mechanics will be described in-product or in separate order terms when applicable. We may change pricing with advance notice where required by law.

10. Data and exports

You retain rights in your trade data subject to the license below. Exports may be offered in-product. After account deletion, data will be removed within a reasonable period consistent with our Privacy Policy and backups.

You grant the operator a limited, worldwide, royalty-free license to host, process, transform, and display your data solely to operate the Service for you.

11. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE OPERATOR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID THE OPERATOR FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID FEES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnity

To the maximum extent permitted by law, you will indemnify, defend, and hold harmless the operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your data, your violation of these Terms, or your violation of third-party rights.

13. Termination

We may suspend or terminate access at any time. You may stop using the Service at any time. Upon termination, your right to use the Service ceases.

Sections that by their nature should survive termination will survive — including disclaimers of warranties, limitation of liability to the extent enforceable, governing law choice, indemnity obligations, confidentiality of security reports you submit responsibly, intellectual property disclaimers implicit in licensing, not financial advice, and licensing scope for data processing already performed.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law principles, except where preempted by applicable federal law where you reside or where mandated otherwise by mandatory consumer-protection rules that cannot be waived by contract.

Please read this section carefully — it affects your legal rights. It requires most disputes to be resolved by individual binding arbitration instead of in court, and waives your right to a jury trial and to participate in a class or representative action. You may opt out of arbitration within 30 days (see below).

Informal resolution first. Before starting an arbitration or court proceeding, you agree to first contact us at austin@thetabeta.app with a description of your dispute and to allow at least 30 days to resolve it informally and in good faith.

Binding individual arbitration. Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration will be conducted in English, on an individual basis, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury-trial waiver.To the maximum extent permitted by law, you and the operator each waive any right to a trial by jury and agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than in arbitration.

Exceptions. Either party may (a) bring an individual claim in a small-claims court of competent jurisdiction, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to address actual or threatened infringement or misappropriation of intellectual-property rights, or unauthorized access to the Service.

30-day opt-out. You may opt out of this arbitration and class-waiver agreement by emailing austin@thetabeta.app within 30 days of first accepting these Terms, stating your name, the email on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Where arbitration does not apply, venue for disputes will be the state and federal courts located in Texas, and you consent to their jurisdiction, subject to lawful rights you may have to bring claims in another forum that cannot legally be waived.
